Website Design & Development Agreement Alex Freelance LLC ↔ Acme Corp 1. PARTIES & PROJECT This Freelance Services Agreement ("Agreement") is entered into as of 2026-08-30 between Alex Freelance LLC (hello@example.com), 123 Main St, City, ST 10001 ("Freelancer") and Acme Corp (legal@acme.com), 456 Business Ave, City, ST 10002 ("Client"). Project: Website Design & Development Agreement Reference: CTR-2026-1839 2. SCOPE OF WORK Design and develop a responsive marketing website including up to 5 pages, mobile optimization, basic on-page SEO setup, contact form integration, and CMS handoff. Excluded unless added in writing: copywriting, stock photography licensing, ongoing hosting, maintenance retainers, and third-party plugin subscriptions. 3. TIMELINE Target completion: 2026-11-28. Timeline depends on timely Client feedback, content delivery, and approvals. Delays caused by Client may extend the schedule without penalty to Freelancer. 4. PAYMENT TERMS Total fee: $4,500. 50% due upfront; 50% due upon completion and delivery. Initial deposit: $1,125 (25%). Invoices are due within Net 15 days unless stated otherwise. Late payments may incur 1.5% interest per month (or the maximum allowed by law) on overdue balances. 5. REVISIONS & CHANGE ORDERS Up to 2 round(s) of revisions are included within the original scope. Additional revisions or new features require a written change order with updated fees and timeline. 6. INTELLECTUAL PROPERTY Upon receipt of full payment, Freelancer assigns to Client all right, title, and interest in the final deliverables created specifically for this project (work made for hire where applicable by law). Freelancer retains ownership of pre-existing materials, tools, and generic components. 7. TERMINATION & KILL FEE Either party may terminate with 14 days written notice. Client pays for all completed work through the termination date. If Client terminates without cause after work begins, a kill fee of 25% of the remaining contract value may apply. Deposits are non-refundable once work has commenced unless otherwise agreed. 8. ADDITIONAL TERMS Confidentiality: Each party agrees to keep non-public business, technical, and financial information confidential during and for two (2) years after the project, except as required by law or with written consent. Portfolio rights: Freelancer may display non-confidential work in portfolio, case studies, and marketing materials unless Client requests otherwise in writing before launch. Limitation of liability: Neither party is liable for indirect or consequential damages. Freelancer's total liability is capped at the fees paid under this agreement ($4,500). Force majeure: Neither party is responsible for delays caused by events beyond reasonable control (natural disasters, outages, government action). Timelines extend accordingly. 9. GOVERNING LAW & DISPUTES Governing law: State of California, USA. Parties agree to attempt good-faith mediation before pursuing arbitration or court action. 10. GENERAL This Agreement constitutes the entire understanding between the parties. Amendments must be in writing signed by both parties.
